Terms of Service

1. Who we are, and what you're agreeing to

Shouts (the “Service”) is operated by Shouts.live LLC (“Shouts,” “we,” “us”). These Terms of Service (the “Terms”) are a binding agreement between you and Shouts.live LLC. By joining a room, creating an account, or otherwise using the Service — on the web or in our mobile apps — you agree to these Terms and to our Privacy Policy. If you don’t agree, don’t use the Service.

2. What the Service is

Shouts is a real-time engagement tool for live events. Hosts create “rooms”; people at the event join anonymously — no download, no account — and post messages, photos, votes, and reactions that appear live to the room and, often, on screens at the venue. Rooms are ephemeral by design: a standard room is live for up to 24 hours and its content is not meant to be a permanent archive.

3. Eligibility and accounts

  • Joining a room requires no account. You must be at least 13 years old (or the minimum age of digital consent where you live) to use the Service.
  • Hosting requires an account, and you must be at least 18 years old and able to form a binding contract to create one. Keep your credentials — including any room password you set — secret; you are responsible for activity under your account and your rooms’ operator access.
  • Information you give us (like the contact details on a venue claim) must be accurate.

4. Your content

You own what you post. So that the Service can work, you grant Shouts a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and adapt (for formatting) your content for the purpose of operating the Service: showing it in the room, on the host’s screens at the event, on the room’s public recap page, and passing it through our moderation systems. This license includes the room’s host displaying your content at and in connection with their event. The license ends when your content is deleted from the Service (rooms and their content are routinely purged — see Section 8), except for content that others have already lawfully shared onward (for example, a recap image someone saved) and copies held briefly in backups.

We do not use your content to train AI models, and we do not sell it.

You are responsible for what you post. Only post content you have the right to share — that includes photos of other people, which you should only submit with their permission.

5. Acceptable use — zero tolerance

There is zero tolerance for objectionable content and abusive users. You may not post or do anything that is: harassing or bullying; hateful; sexually explicit; violent or threatening; illegal; spam or a scam; or that targets, defames, impersonates, or exposes the private information of any person. You may not attempt to probe, overload, scrape, reverse-engineer, or interfere with the Service, evade a ban or rate limit, or use bots to simulate crowd activity.

Every post is screened by automated moderation (including AI review), and every room has a one-tap way to report content and block a user. We review reports and act on them within 24 hours — removing the content and ejecting the user who posted it where warranted. Repeat or severe offenders are banned. You can also report activity to safety@shouts.live.

We may remove any content or restrict any user or room at any time to enforce these Terms or protect the Service and its users. We do not undertake to pre-screen everything perfectly, and content you see in a room is the responsibility of the person who posted it.

6. Hosting a room

Your room is your event. As a host you are responsible for how your room is used: what you promote in it, how you configure who can post, how you moderate, what you display on public screens, and compliance with any rules that apply to your event or venue. You must not use Shouts for illegal activity, targeted harassment, or deceptive commercial practices, and any advertising you run in your room (announcements, sponsor banners, sponsored rewards) must be truthful and lawful.

Host tools include kicking and banning attendees, pausing or slowing the room, and a public-screen safety mode. We also apply platform-level safeguards (rate limits and automatic slow-down of abnormally hot rooms) to keep the Service stable for everyone.

7. Prizes, games, and promotions

Shouts provides software for running engagement moments — scratch cards, prize drops, raffles, quizzes, predictions, and similar. The host, not Shouts, is the one offering any prize. Hosts are solely responsible for supplying and fulfilling prizes, deciding eligibility, honoring redemptions, and complying with all laws that apply to their promotion — including sweepstakes, raffle, and gaming laws, age restrictions, and rules on alcohol-related giveaways. Shouts is not a party to, and is not responsible for, any prize or its fulfillment.

Points, streaks, leaderboards, and prize coupons in the Service have no cash value, are not transferable, and expire with the room (or by the deadline shown on the coupon). The games are for entertainment; the Service may not be used for gambling or any game requiring payment to enter for a chance to win.

8. Rooms are ephemeral — content lifecycle

  • Standard rooms close automatically after up to 24 hours of live time.
  • Photos, thumbnails, and uploaded media are permanently purged approximately 10 days after a room expires or closes.
  • A public recap page (aggregate stats and highlights) is available for about 10 days after a room ends; hosts can turn it off. Recaps for a venue’s permanent room last until the host clears the room.
  • Message history and room content may be deleted at any time. Do not rely on Shouts as storage for anything you want to keep.

9. Paid plans, billing, and trials

Current plans, prices, and what each includes are listed at shouts.live/pricing. By subscribing you authorize us (through our payment processor, Stripe) to charge your payment method the plan price, plus applicable taxes, on a recurring monthly basis.

  • Auto-renewal. Subscriptions renew automatically each month until cancelled.
  • Cancelling. You can cancel anytime from your account’s billing portal. Cancellation takes effect at the end of the current billing period; you keep your plan’s features until then.
  • Refunds. Fees already charged are non-refundable, and we don’t prorate partial months, except where the law requires otherwise or we choose to in a specific case.
  • Failed payments. If a renewal charge fails we’ll notify you and retry. If it can’t be collected, the subscription is cancelled and the account returns to the Free plan. We never charge you more than your plan price.
  • Price changes. We may change plan prices with at least 30 days’ notice; changes apply from your next billing cycle. If you don’t agree, cancel before the new price takes effect.
  • Trials never auto-charge. Free trials (30 days, one per account) require no card and never convert into a paid subscription by themselves. When a trial ends, the account simply returns to the Free plan.
  • Venue-claim trials and room reclamation. If a room that Shouts set up for a venue was transferred to you with a complimentary Pro trial and the trial ends without an active subscription, that room — including its code — returns to Shouts. We’ll warn you by email before this happens, and subscribing restores your access.
  • Plan limits and grandfathering. Each room is stamped with the limits of the plan that created it. Changing plans changes the limits of new rooms (and of your permanent rooms), not of events already running.
  • Fair use (Venue plan). The Venue plan is for running your own venue or recurring event. Reselling access, operating rooms for third parties at scale, or sustained automated traffic well outside normal event patterns isn’t fair use; we’ll contact you about an Enterprise arrangement before restricting anything.

10. Service availability

We aim for high availability but do not guarantee uninterrupted service. Live events are unforgiving and we build accordingly, but outages, data loss, and degraded modes can happen. High-frequency automated traffic that degrades the experience for other rooms may be rate-limited or cut off.

11. Shouts’ property

The Service — its software, design, and the Shouts name and marks — belongs to Shouts.live LLC and its licensors. These Terms don’t give you any right to use our branding. If you send us feedback or suggestions, we may use them without obligation to you.

12. Copyright complaints

If you believe content in a room infringes your copyright, email safety@shouts.live with: the work you own, the room code and a description of the infringing content, your contact details, and a good-faith statement that the use is unauthorized, signed under penalty of perjury. We remove infringing content and terminate repeat infringers.

13. Termination

You can stop using the Service at any time and can delete your account from the dashboard — this deletes the rooms you created and their content. We may suspend or terminate accounts, rooms, or access that violate these Terms, create risk for us or other users, or where the law requires. Sections that by their nature should survive (4, 7, 11, and 14–17) survive termination.

14. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT CONTENT POSTED BY USERS OR EVENTS RUN BY HOSTS WILL MEET YOUR EXPECTATIONS. EVENTS, VENUES, AND PRIZES ARE THE RESPONSIBILITY OF THE HOSTS WHO RUN THEM.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOUTS.LIVE LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) US $100. SOME JURISDICTIONS DON’T ALLOW CERTAIN LIMITATIONS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.

16. Indemnification

If you host events on Shouts, you agree to defend and indemnify Shouts.live LLC against claims arising from your events, your promotions and prizes, your content, or your violation of these Terms or of any law.

17. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict of law rules. Before filing any claim, contact us at hello@shouts.live — most issues can be fixed quickly and informally. Any dispute that can’t be resolved informally will be brought exclusively in the state or federal courts located in Harris County, Texas, and you and Shouts each consent to the jurisdiction of those courts.

18. Changes to these Terms

We may update these Terms as the product evolves. For material changes we’ll give notice — on the dashboard, by email for account holders, or both — before they take effect. Continuing to use the Service after the effective date means you accept the updated Terms.
